Constitution

1. Name

The name of the organisation shall be the Friends of Gledhow Valley Woods, hereafter referred to as FGVW.

2. Objectives

The objectives of FGVW are to:

  • conserve and enhance Gledhow Valley Woods, hereafter referred to as GVW.
  • protect the natural beauty of GVW.
  • increase public awareness about GVW and reflect the concerns of the wider community.
  • support other groups in the Gledhow Valley area.
  • liaise with all appropriate organisations to achieve objectives.

3. Year-End

  • FGVW financial year-end shall be 31st March.

4. Membership

  • Membership of FGVW is open to all.
  • The Lord Mayor of Leeds, the Leader of the Council and all Councillors of Roundhay, Chapel Allerton and Moortown Wards will be invited to be honorary members of FGVW.

5. Membership Fee or Subscription

  • There will be no membership fee or subscription, at the time of signing this constitution, but membership fees or subscription may be levied if deemed appropriate at any future meetings.
  • However, requests will be made on occasions deemed appropriate by the Core Group (see Clause 7) for donations to help with the running of FGVW and to achieve the objectives (see Clause 2).

6. Meetings

Meetings of any nature shall be called at the discretion of the Core Group, to include wider public meeting once a year. When meetings are called the business can include:

  • to receive a report from the committee;
  • accept any statements of accounts;
  • elect auditor or auditors;
  • elect officers and committee members as appropriate;
  • discuss such matters as are appropriate at general meetings.
  • Minutes shall be taken at all meetings and be held by the Core Group.
  • Notice of any meetings will be posted to known members/supporters and displayed on appropriate notice boards, shop windows, etc.

7. Voting at Meetings

  • All Friends shall be eligible to vote.
  • Voting shall be by a show of hands or by ballot at the discretion of the chair.
  • The chair shall also be eligible to vote.
  • A simple majority shall decide the vote.

8. Officers

  • Officers shall be elected at the discretion of the Core Group and all Friends are eligible for office.
  • Officers may include a Chair, Vice- Chair, Secretary, Treasurer and Publicity Officer.
  • No person shall be elected as chair for more than 3 consecutive years.

9. Core Group

  • FGVW shall be managed by a Core Group.
  • The Core Group shall consist of any Officers (see Clause 8) and any member or supporters of FGVW who have expressed an interest to be on the core group.
  • The Core Group shall be responsible for the policy and general management of FGVW.
  • The Core Group shall meet not less than 4 times per year.
  • A quorum shall consist of four committee members.
  • All Friends may attend Core Group meetings.

10. Finance

  • All monies raised by or on behalf of GVW shall be applied to further the objectives of FGVW and for no other purpose.
  • An account shall be opened or continued, in the name of FGVW, with a bank or building society approved by the Core Group.
  • All monies received on behalf of the FGVW, except for a small sum of petty cash, shall be deposited in that said account.
  • The Treasurer shall prepare an audited statement of income and expenditure that shall be produced annually and made available.
  • Cheques shall be signed by the Treasurer, Chair or other officer.
  • In the event of the FGVW being dissolved, remaining funds after payment of outstanding accounts shall be transferred an organisation at the discretion of the then Chair.

11. Changes to the Constitution

  • Changes to the constitution can be made at any appropriate meeting or by the Core Group.
  • Notice of a resolution to change the constitution shall be forwarded to the secretary in sufficient time for that change to be circulated to all known members/supporters with notice of the meeting.

12. Dissolution

  • If the Core Group, by a simple majority, decides at any time that on the ground of expense or otherwise it is necessary or advisable to dissolve the group it shall call a meeting of the FGVW members and supporters.
  • Notice of any such meeting to be no less than 21 days stating the terms of the resolution to be proposed.
  • Additionally notices shall be posted in conspicuous places around GVW and given in writing to any other national body to which FGVW may be affiliated.
  • If such a resolution is confirmed by a simple majority of those present at such meeting the Core Group shall have the power to dispose of the assets held by or in the name of the FGVW.

13. Adoption

Until there is a an appropriate meeting this constitution shall take effect as if references to the Core Group were references to the persons whose signatures appear at the bottom of this document.
